Tom Haines is a shareholder and Managing Director in the Chicago office of Frederic W. Cook & Co., Inc. (“FW Cook”) where he has 31 years of board-level consulting experience in the design and implementation of executive and outside director compensation programs. Tom’s consulting experience extends over a broad range of company sizes and industries, and includes projects such as total compensation reviews, annual and long-term incentive plan designs, special retention arrangements, new hire and retirement/resignation packages, and equity conversions and change-in-control provisions in connection with business acquisitions and divestitures. 

Tom is a technical expert in the areas of federal tax and securities laws and U.S. accounting standards as they pertain to executive compensation and is a frequent speaker and writer on these topics. Tom is a member of the teaching faculty at WorldatWork where he is a technical advisor and teaches advanced courses on executive compensation to industry professionals, and authors their publication on SEC executive compensation proxy disclosure rules now in its sixth edition.

Previously, Tom was a Manager in the Minneapolis office tax practice of Ernst & Young where he worked for 5 years. Tom is a certified public accountant with a master’s degree in business taxation and a certified executive compensation professional designation from WorldatWork.
